Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Baseworks, operated by Established Agency, based in Melbourne, Australia ("Baseworks", "we", "us", or "our"). They govern your access to and use of the Baseworks website, platform, and related services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old and able to form a legally binding contract to use the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.

Some features of the Services are provided on a paid subscription basis. Fees, billing cycles, and any free trial terms will be presented at the time of purchase. Unless stated otherwise:

• Subscriptions renew automatically until cancelled.
• Fees are charged in advance and are non-refundable except where required by law.
• You authorise us (and our payment processor) to charge your nominated payment method.
• We may change pricing on prospective renewal periods with reasonable notice.

You retain all rights to the data, files, and content you submit, upload, or connect to the Services ("Your Content"). You grant Baseworks a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Your Content solely to provide and improve the Services. You are responsible for ensuring you have the rights to submit Your Content and that it does not violate any law or third-party rights.

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose.
• Upload or transmit malicious code, viruses, or any code intended to disrupt the Services.
• Attempt to gain unauthorised access to any part of the Services or related systems.
• Reverse engineer, decompile, or otherwise attempt to extract source code, except as permitted by law.
• Scrape, harvest, or extract data using automated means without our prior written consent.
• Resell, sublicense, or commercially exploit the Services without authorisation.
• Infringe the intellectual property, privacy, or other rights of any third party.

The Services may allow you to connect or interact with third-party services (for example CRMs, email tools, payment platforms, or scheduling tools). Your use of those third-party services is governed by their own terms and privacy policies. Baseworks is not responsible for any third-party services or for the consequences of using them with the Services.

The Services, including all software, design, text, graphics, and trademarks (excluding Your Content), are owned by or licensed to Baseworks and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services in accordance with these Terms.

If you provide feedback, ideas, or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose without obligation to you.

Each party may receive information from the other that is non-public and treated as confidential. The receiving party will protect such information with at least the same care it uses to protect its own confidential information and will use it only to perform under these Terms.

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Baseworks disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services will be uninterrupted, error-free, or secure. Nothing in these Terms is intended to exclude rights you have under the Australian Consumer Law or other non-excludable consumer protections.

To the maximum extent permitted by law, Baseworks and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid to Baseworks in the 12 months preceding the event giving rise to the claim, or (b) AUD $100.

You agree to indemnify and hold harmless Baseworks, Established Agency, and their officers, employees, and agents from any claims, losses, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, Your Content, or your violation of any law or third-party right.

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms or if required by law. You may stop using the Services at any time. Upon termination, your right to use the Services ceases and provisions that by their nature should survive will survive.

We may modify the Services or these Terms from time to time. If we make material changes to the Terms, we will provide reasonable notice (for example via the Services or by email). Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Victoria, Australia, without regard to its conflict of laws principles. You agree that the courts located in Victoria, Australia have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where prohibited by applicable law.
